Terms of Service
These Terms govern your access to and use of the SIP platform, websites, and APIs. Please read them carefully — by using SIP, you agree to be bound by them.
Agreement to terms
These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and SIP Intelligence, Inc. ("SIP," "we," "us"). They apply to the SIP web application, dashboards, data feeds, and APIs (collectively, the "Service").
By creating an account, clicking "I agree," or accessing the Service, you accept these Terms. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, you may not access or use the Service.
Definitions
- Account — the credentials and workspace provisioned for you or your organization.
- Content — signals, scores, decompositions, charts, and other outputs generated by the Service.
- Customer Data — watchlists, configurations, and other information you submit to the Service.
- Subscription — the paid plan and term you select at checkout or in an order form.
Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your registration information and for all activity under your Account.
You must keep your credentials confidential and notify us promptly of any unauthorized use. We may suspend Accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
Subscriptions, billing & renewals
Paid Subscriptions are billed in advance on the cadence shown at checkout (monthly or annual). Fees are non-refundable except where required by law or expressly stated in these Terms.
- Subscriptions renew automatically at the end of each term unless cancelled before the renewal date.
- We may change pricing with at least 30 days' notice, effective at your next renewal.
- Overages on metered features (such as API calls beyond your plan) are billed at the rates in your plan.
- Free-tier accounts have usage limits and may be modified or discontinued with reasonable notice.
Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Reverse engineer, scrape, or resell the Service or its Content except as expressly permitted;
- Circumvent rate limits, access controls, or usage restrictions;
- Use the Service to build a competing product or to train a competing model;
- Upload unlawful, infringing, or malicious content, or interfere with the integrity of the Service;
- Share credentials or provide access to unauthorized third parties.
Market data & third-party sources
The Service ingests data from exchanges, news providers, and other third-party sources. Your use of certain data may be subject to those providers' terms, and some data is provided on a delayed or best-effort basis.
We do not guarantee the accuracy, completeness, or timeliness of third-party data and are not liable for third-party data errors or outages.
No investment advice
SIP is a research and information tool. Nothing produced by the Service — including signals, scores, or decompositions — constitutes investment advice, a recommendation, or an offer or solicitation to buy or sell any security.
You are solely responsible for your own investment decisions. SIP is not a registered investment adviser, broker-dealer, or fiduciary, and no advisory relationship is created by your use of the Service.
Intellectual property
SIP and its licensors own all rights in the Service, including software, models, and the look and feel. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service during your Subscription term.
You retain ownership of your Customer Data. You grant us a limited license to process it to provide and improve the Service, subject to our Privacy Policy and, where applicable, our Data Processing Addendum.
Confidentiality
Each party may access confidential information of the other. The receiving party will use it only to perform under these Terms and will protect it with the same care it uses for its own confidential information, and no less than reasonable care.
Disclaimers of warranties
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that signals will produce any particular result.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or trading losses, arising out of or related to these Terms.
Except for your payment obligations and each party's indemnification obligations, each party's total aggregate liability will not exceed the fees you paid to SIP in the 12 months preceding the event giving rise to the claim.
Indemnification
You will defend and indemnify SIP against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law. We will defend and indemnify you against third-party claims that the Service infringes their intellectual property rights.
Term & termination
These Terms remain in effect for as long as you use the Service. You may cancel at any time from your Account settings. We may suspend or terminate your access for material breach, non-payment, or as required by law.
On termination, your right to use the Service ends. We will make Customer Data available for export for 30 days, after which it may be deleted in accordance with our retention practices.
Governing law & disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in New York County, New York, except that either party may seek injunctive relief in any court of competent jurisdiction.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-product) before they take effect. Your continued use of the Service after changes become effective constitutes acceptance.
